1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Hortibase websites, applications, APIs, and related services (collectively, the "Service"), operated by Hortibase ("we", "us", or "our").
The Service includes:
- the public website at https://hortibase.com (the "Public Site"), including product and brand catalogs, glossary, tools, calculators, and educational content; and
- the business platform at https://app.hortibase.com (the "Platform"), including account workspaces, product data management, integrations, exports, and paid features.
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. Definitions
- "Account" means a registered workspace on the Platform.
- "User Content" means data, text, files, images, documents, product records, and other material you submit to the Service.
- "Catalog Data" means product, brand, organization, document, and related structured information published on the Service, whether curated by Hortibase, submitted by users, or marked as brand-managed.
- "Brand Verified" means content managed by a brand that has completed Hortibase's claim and verification process.
- "Subscription" means a paid plan or add-on purchased for an Account.
- "API" means programmatic interfaces made available by Hortibase.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred under applicable law or if we have previously suspended or terminated your access.
4. Accounts and Security
4.1 Registration
To use certain Platform features, you must create an Account with accurate and complete information and keep it up to date.
4.2 Account responsibility
You are responsible for all activity under your Account, maintaining the confidentiality of login credentials, and notifying us promptly at [email protected] if you suspect unauthorized access.
4.3 Team access
If you invite team members to an Account, you are responsible for their actions and for assigning appropriate roles and permissions.
5. The Service
5.1 Public Site
The Public Site is provided for discovery, reference, and general information about indoor growing products and related industry data. Public browsing does not require an Account unless a specific feature requires one.
5.2 Platform
The Platform provides professional tools for manufacturers, distributors, retailers, growers, and other industry users, including product data management, watchlists, exports, integrations, analytics, and other features depending on your plan. Feature availability depends on your Subscription, entitlements, and account type.
5.3 Changes to the Service
We may modify, suspend, or discontinue any part of the Service at any time. Where reasonably practicable, we will give notice of material changes that adversely affect paid Subscriptions.
5.4 Beta and preview features
We may offer features labeled beta, preview, or similar. These are provided as is, may change or be withdrawn, and may have limited support.
6. Subscriptions, Billing, and Trials
6.1 Plans
Hortibase offers free and paid plans. Plan details, limits, and pricing are described on the Pricing page or in an order form.
6.2 Free plans
Free plans may be subject to usage limits. We may change free plan features or limits with reasonable notice where required by law.
6.3 Paid Subscriptions
If you purchase a paid Subscription, fees are billed in advance according to the selected billing interval unless otherwise stated. Taxes, if applicable, are your responsibility unless stated otherwise. Payment must be made through our approved payment methods.
6.4 Free trials
If we offer a free trial, it lasts for the period stated at signup. At the end of the trial, your Account may convert to a paid Subscription unless you cancel before the trial ends.
6.5 Renewal and cancellation
Unless stated otherwise, paid Subscriptions renew automatically at the end of each billing period. You may cancel through your Account settings or by contacting [email protected]. Cancellation stops future billing but, unless required by law, does not entitle you to a refund for the current billing period.
6.6 Refunds
Except where required by applicable consumer law, fees are non-refundable.
6.7 Non-payment
We may suspend or terminate access to paid features if payment fails and remains unresolved after reasonable notice.
7. Acceptable Use
You agree not to:
- use the Service unlawfully or in violation of these Terms;
- access the Service by automated means except through documented APIs and within applicable rate limits;
- scrape, harvest, or bulk-download Catalog Data except as expressly permitted by your plan, API access, or a separate written agreement;
- interfere with or disrupt the Service, including by introducing malware or attempting to bypass security;
- impersonate another person or organization, or misrepresent your affiliation with a brand or company;
- upload unlawful, infringing, misleading, or harmful content;
- use the Service to send spam or unsolicited communications;
- reverse engineer the Service except where permitted by mandatory law;
- resell or sublicense the Service except as expressly authorized.
We may investigate violations and suspend or terminate access where appropriate.
8. Brand Claims and Representations
If you claim or manage a brand, organization, or product profile on Hortibase, you represent that you are authorized to act on behalf of that brand or organization, that the information you submit is accurate to the best of your knowledge, and that you will not misuse the Brand Verified status or imply endorsement beyond your actual relationship.
We may review, approve, reject, suspend, or revoke claims at our discretion. You remain responsible for content you publish after claiming a profile.
9. User Content and Catalog Data
9.1 Your content
You retain ownership of User Content you submit. You grant Hortibase a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, publish, display, distribute, and otherwise use User Content as needed to operate, improve, and promote the Service, including making product information available on the Public Site where applicable.
9.2 Responsibility for content
You are solely responsible for User Content and for ensuring you have all rights necessary to submit it, including trademarks, copyrights, product images, manuals, and brand assets.
9.3 Catalog Data and third-party rights
Catalog Data may originate from Hortibase curation, publicly available sources, user submissions, integrations, or brand-managed updates. We do not guarantee that all Catalog Data is complete, current, or error-free. If you believe content infringes your rights, contact us at [email protected] with sufficient detail for us to review the claim.
9.4 Asset packs and brand materials
Where Hortibase provides downloadable brand assets or data packages, additional usage restrictions may apply. Unless expressly permitted, you may not alter brand logos, misrepresent brand relationships, resell asset packs as standalone products, or imply partnership beyond your actual distribution or retail relationship.
10. Intellectual Property
The Service, including software, design, databases, selection and arrangement of Catalog Data, trademarks, and documentation, is owned by Hortibase or its licensors and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.
If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without obligation to you.
11. API and Integrations
If your plan includes API access or integrations with third-party systems such as e-commerce platforms or ERP tools, you must comply with API documentation, authentication requirements, and rate limits. You are responsible for your connected systems and for lawful use of synced data. Third-party platforms are governed by their own terms; Hortibase is not responsible for third-party services. We may modify or deprecate APIs with reasonable notice where practicable.
You must not use API access to build a competing product database or to redistribute Catalog Data outside the scope of your Subscription or separate agreement.
12. Data Exports
Where export features are available, you may export data according to your plan limits. Exported data remains subject to applicable intellectual property rights and these Terms. We aim to keep data portable, but export formats and fields may change over time.
13. Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the Service, you acknowledge that you have read it.
14. Tools, Calculators, and Informational Content
Tools, calculators, glossary entries, diagnostic helpers, and other educational content are provided for general informational purposes only. They do not constitute professional, agricultural, horticultural, legal, medical, or business advice; may produce approximate results; and may run locally in your browser for certain tools, as stated on the relevant page. You are solely responsible for decisions made based on information from the Service.
15. Disclaimers
To the fullest extent permitted by law, the Service and all Catalog Data are provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free. Product specifications, compatibility information, pricing observations, documentation links, and availability may change without notice.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
16. Limitation of Liability
To the fullest extent permitted by law, Hortibase will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity. Our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid to Hortibase for the Service in the twelve (12) months before the event giving rise to the claim, or EUR 100.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
17. Indemnification
You will defend, indemnify, and hold harmless Hortibase and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, your violation of these Terms, or your claim or management of a brand or organization profile without proper authority.
18. Suspension and Termination
We may suspend or terminate your access immediately if you materially breach these Terms, payment is overdue, your use poses security, legal, or operational risk, or we are required to do so by law. You may stop using the Service at any time. Upon termination, your right to use the Service ends. We may delete or retain Account data according to our Privacy Policy and legal obligations. Provisions that by nature should survive will survive, including payment obligations, intellectual property, disclaimers, limitation of liability, and indemnification.
19. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms on the Service and updating the "Last updated" date, or by other reasonable means. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires explicit consent.
20. Governing Law and Disputes
These Terms are governed by the laws of the European Union and the member state in which Hortibase is established, excluding conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts in that member state, unless mandatory consumer protection law gives you the right to bring claims in your country of residence.
If you are a consumer in the European Union, you may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
21. General
- Entire agreement: These Terms, together with the Privacy Policy and any order form or plan-specific terms, form the entire agreement between you and Hortibase regarding the Service.
- Severability: If any provision is unenforceable, the remaining provisions remain in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for delay or failure caused by events beyond our reasonable control.
